Registration Agreement

1、Confirmation of agreement articles：
The ownership and operation of Shangmail services is owned by Babeeta (Beijing) Technology Co., Ltd. (hereinafter referred to as “Babeeta”). To obtain Shangmail services, you should read all contents and notes of this agreement and complete all application procedures. The click of “accept the agreement” during your application means that you conclude an agreement with us and accept all articles under the agreement terms.
2、Alteration of agreement articles
2.1 In view of the particularities of online services, we will alter articles of the agreement when necessary. If so, we will notify you via e-mail, online announcement or other means 30 days before the alteration goes into operation.
2.2 If you do not agree with the alterations we have made, you have the right to stop using Shangmail services; and your continuing to use Shangmail services shall be deemed as acceptance of all such alterations.
3、Service introduction
3.1 We provide for you with both free services and pay services. If you need to pay fees to a company other than our company for relevant services, the fee and charging articles shall be regulated by that company. If you choose our pay services, we are entitled to charge fees for the services you use via the charging means you designate. Unless expressly stated, the fees we charge do not include any taxes or phone charges. Within the maximum scope allowed by laws, you shall be responsible for the taxes or phone charges.
3.2 The services we provide can only be used by yourself. You can use the services during your work. However, you should sign a written contract separately with us, if you use the services to conduct businesses or apply the services in any profitable field, and you shall not use it for illegal purposes. In using our services, you shall not do harm to us, our associated companies, distributors, agencies, service providers and/or suppliers (referred as Shangmail parties hereinafter) or clients of Shangmail parties.
3.3 While enjoying the services we provide, you shall agree to accept various information services we provide.
4、Alteration and cancellation of services
4.1 We may partly or wholly alter or cancel the services at any time due to any reason. We are also entitled to cancel or suspend the services without any reason and/or notification. Your right to use the services is cancelled or suspended immediately when the services are cancelled or suspended, and you may not be able to obtain any reserved data. If we cancel relevant pay services, you shall still pay for the part you enjoyed before. If we cancelled all services without any reason, we will refund the residual amount of money in your account before the cancellation. Unless expressly stated or regulated by laws, you shall be responsible for all fees generated during the refunding.
4.2 You can cancel the services at any time, and shall pay all relevant fees generated in the cancellation. In case of cancellation, you shall pay for the services you have enjoyed before the cancellation.
4.3 We have the right to examine or maintain the platform and relevant facilities for online services regularly or irregularly. Although being not responsible for the suspension of pay services in reasonable time, we shall notify you in advance as possible as we can.
5、Accounts, password and security of users
5.1 After successful application, you will get a Shangmail username and corresponding password. You shall keep safe the username and password and be responsible for all behaviors under this username. You shall be responsible for all damages to yourself, us or any third party due to your failure to keep safe the username and password. You are in duty bound to notify us immediately in case of any unauthorized or illegal usage of your username or any circumstances endangering the service security.
5.2 You are entitled to change the password at any time, or terminate an old Shangmail username and reapply a new one.
6、Rules of use
6.1You should be responsible for all the contents you release. You shall promise：
6.1.1 To abide by relevant Chinese laws when releasing information on the Shangmail website or using the services we provide, not to produce, duplicate, release or spread the following information by taking advantage of our services or on our website: those against the basic principles framed by the constitution; those damaging national safety, disclosing state secrecy, overthrowing our regime or harming national unification; those impairing national honor or interest; those fanning national hatred or discrimination and undermining national unity; those sabotaging state religious policies or publicizing cults or feudal and superstitious activities; those spreading rumors, disrupting social order or undermining social stability; those dispersing obscenity, pornography, gamble, violence, murder or terrorism or instigating crime; those insulting or maligning others or infringing others’ legal rights and benefits; and those containing other contents that are banned by laws or administrative regulations.
6.1.2 To abide by laws and regulations of other countries and regions and relevant regulations of International Law when releasing information on Shangmail website or using the services we provide.
6.2 No to conduct the following activities by taking advantage of the services of Shangmail: enter computer information network or use resources of the network without permission; delete, change or add the functions of the computer information network without permission; delete, change or add the data or application programs that are stored, processed or under transmission in the computer information network without permission; make and spread destructive programs like computer viruses on purpose; other behaviors damaging the security of computer information network. Besides, you shall not interrupt our services by any means.
6.3 You shall abide by all our regulations and procedures besides those afore- mentioned.
6.4 You should shoulder legal liabilities for all your behaviors in using our services.
6.5 You should undertake some confidential duties related to our services.
7、Ownership of the contents：
7.1 Shangmail services include: text, software, sound, picture, photo, video, chart, etc., all contents included in advertisements, and all contents in e-mails. All these contents are protected by laws in terms of the ownership of copyright, trademark, label and other properties.
7.2 You have the right to use these contents only after the authorization of us, relevant advertisers or other relevant obligees, and shall not copy or reproduce these contents, or create derivative products related to them without authorization.
8、Unavailability of guarantee and disclaimer
8.1 You clearly agree to bear all risks and consequences engendered in using our services.
8.2 We make clear not to offer guarantee of any type, whether tangible or connotative, except commercial connotative guarantee and appropriate guarantee for specific targets abiding by regulations.
8.3 We do not guarantee that all provided services satisfy your requirements and all services will not be suspended. Besides, the timeliness, safety, authenticity and accuracy are not guaranteed either.
9、Limited liabilities：
9.1 We are not responsible for and will not reimburse for any consequential, particular, indirect or accidental damages or losses of benefits, which include but are not limited to non-valid or illegal use of product services.
9.2 If you are dissatisfied with Shangmail services or do not agree with any part of the agreement, or have any disputes with or appeals to Babeeta over the agreement or Shangmail services, your shall stop using Shangmail services.
10、Guarantee
10.1 We will try our best to maintain the security and convenience of all provided services, but are not responsible for information deletion or store failure in the services.
10.2 You agree to support and defend the benefit of the staff of our company, and shall pay the counsel fees exceeding your service scope, damage compensation fee due to your violation of service articles, and recourse charges of the use of your computer, username and other property rights by others.
11、Guarantee
11.1 We deem all personal information related to your use of Shangmail as privacy. Normally, we shall never monitor and obtain your private information. However, we may monitor your correspondence and disclose the information which we think necessary to be disclosed due to reasons below: a. in accordance with requirements of laws or legal procedures; b. to ensure that you have performed the contract; or c. in line with the announcement we have made on privacy protection; d. to protect the rights, properties or benefits of Babeeta and its employees, clients or the public.
11.2 You should be extremely cautious when using personal identification information of yourself or your family and any other information related to privacy.
12、Laws
12.1 Chinese laws shall be applicable to the conclusion, implementation and explanation of the agreement and dispute settlement. Those articles under the agreement shall be re-explained in accordance with laws and regulations in case of violation of laws, while the rest will remain effective to you.
12.2 Any disputes between you and us on the agreement or engendered in using our services shall be settled through friendly negotiation; the two parties hereto shall hereby agree to submit the dispute to arbitration in case of the failure of negotiation. We are entitled to choose the form of lawsuit and a court with jurisdiction over the lawsuit.
13、Miscellaneous
13.1 Babeeta has the right of interpretation of the agreement.
13.2 The agreement constitutes a complete agreement on agreed matters in the agreement by the two parties and other relevant matters. All parties hereto are endowed with no other rights but these regulated in the agreement.
13.3 In case that any article hereunder is totally or partially invalid or does not have enforcement power due to any reason, other articles hereunder shall remain valid and have binding force.
13.4 Any appeal to the agreement or services shall be put forward within one year from the date that the appeal can be advanced initially. Otherwise, it will be permanently forbidden. This article is applicable to you and your successor as well as us, our successor and surrenderee.
